Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer") and CockpitShop d.o.o. ("CockpitShop", "we", "us", "our"), a limited liability company registered in Montenegro with PIB 52183947, CRPS registration number 4-0097341/X, having its registered office at ul. Bulevar Sv. Petra Cetinjskog 22, 81000 Podgorica, Crna Gora.

By creating an account, placing an order or activating any CockpitShop module, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not use CockpitShop services. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.

These Terms were last updated on 1 August 2026 and supersede all prior versions. We reserve the right to modify these Terms at any time. We will notify existing Customers of material changes by email at least 14 days in advance. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.

2. Description of Service

CockpitShop provides a software-as-a-service (SaaS) platform offering third-party modules and integrations ("Modules") designed to extend the functionality of the Dirs21 hotel property management system and channel manager operated by Dirs21 GmbH. CockpitShop is an independent software vendor and is not affiliated with, endorsed by, or officially connected to Dirs21 GmbH. The name "Dirs21" is a registered trademark of Dirs21 GmbH, used herein solely to indicate software compatibility.

Available Modules include but are not limited to: OTA Sync Pro, Revenue Manager, Accounting Bridge, Guest Messaging, Housekeeping Hub, Rate Shopper, Multi-Property Dashboard, CRM Connector, Reporting Suite and Direct Booking Widget. Each Module connects to the Customer's existing Dirs21 account via the official Dirs21 API and requires the Customer to hold an active Dirs21 subscription with API access enabled.

CockpitShop does not provide Dirs21 subscriptions, hotel management software, or PMS services. Our Service is limited to the Modules described on this website. The Customer is solely responsible for maintaining a valid Dirs21 subscription and the API credentials required to connect Modules.

3. Account Registration and Security

A CockpitShop account is created automatically when you complete your first purchase. Account access is provided through a passwordless magic link system — we send a one-time secure link to your registered email address each time you wish to access the customer portal. You are responsible for maintaining the security of your email account. If you believe your email account has been compromised, you must contact us immediately at support@cockpitshop.org.

You agree to provide accurate, current and complete information during registration and to keep your account information updated. You may not create multiple accounts to circumvent billing, usage limits or any suspension of your account. Accounts are non-transferable.

CockpitShop stores your Dirs21 API key in encrypted form using AES-256 encryption. We do not have access to your Dirs21 login password. If you revoke or regenerate your Dirs21 API key, you must update it in your CockpitShop account portal to maintain module functionality.

4. Subscriptions and Billing

Each Module subscription is billed monthly on the anniversary of your activation date. Pricing is as published on the CockpitShop website at the time of activation. We reserve the right to change pricing with at least 30 days' written notice to your registered email address.

Payment is accepted via SEPA bank transfer to Crnogorska komercijalna banka, IBAN ME25 5520 0000 1234 5678 90. Invoices are issued by email within 24 hours of each billing date. Modules are activated within 24 hours of confirmed payment receipt. For subsequent billing periods, modules remain active until payment is confirmed.

If payment is not received within 14 days of the billing date, access to the affected Module may be suspended without further notice. Suspended modules retain their configuration data for 30 days, after which all data may be permanently deleted.

Prices are stated exclusive of value-added tax (VAT) or any other applicable taxes. B2B Customers in EU member states must provide a valid VAT number for reverse-charge invoicing. Customers in Montenegro are subject to Montenegrin VAT at the applicable rate.

5. Cancellation

You may cancel any Module subscription at any time from your CockpitShop account portal. Cancellation takes effect at the end of the current paid billing period — the Module remains active until that date. You will not be charged for subsequent periods. Cancellation does not affect other active Module subscriptions on your account.

To cancel, log in to your CockpitShop account portal and navigate to Subscriptions → [Module name] → Cancel Subscription. Alternatively, send a cancellation request to support@cockpitshop.org from your registered email address, including your account email and the Module name. We will confirm cancellation within one business day.

6. Refund Policy

All payments are non-refundable unless otherwise required by applicable law. We do not offer pro-rata refunds for partial billing periods. If a Module fails to connect to your Dirs21 account due to a technical error on our side that cannot be resolved within 7 business days of a support request, you are entitled to a pro-rata refund for the affected period. 7. Intellectual Property

All software, content, trademarks, logos and other intellectual property on the CockpitShop website and in our Modules is the property of CockpitShop d.o.o. or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Modules you have purchased for their intended purpose during the active subscription period. This licence does not include any right to sublicence, reverse engineer, decompile, or create derivative works based on our Modules.

The name "Dirs21" and associated trademarks are the property of Dirs21 GmbH and are used by CockpitShop solely to indicate software compatibility under nominative fair use principles. CockpitShop claims no ownership over the Dirs21 trademark.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CockpitShop's total liability to the Customer for any claim arising out of or in connection with these Terms shall not exceed the total amount paid by the Customer to CockpitShop in the three-month period immediately preceding the event giving rise to the claim.

CockpitShop is not liable for: (a) any failure or delay caused by events outside our reasonable control, including Dirs21 API outages, changes to the Dirs21 API by Dirs21 GmbH, or internet connectivity failures; (b) any loss of revenue, profit, data or business opportunity arising from Module downtime; (c) any inaccuracy in rate data, reservation data or revenue calculations generated by our Modules; (d) any changes to OTA platform policies that affect distribution channel functionality.

Our Modules are provided "as is" and "as available". We make no warranty that Modules will be error-free, uninterrupted or suitable for any particular purpose beyond those described in the Module product pages on this website.

9. Data Processing

CockpitShop processes personal data as described in our Privacy Policy and Data Processing Agreement. For B2B Customers who process hotel guest personal data through our Modules, we act as a data processor under Article 28 of the GDPR. The Data Processing Agreement available at /dpa forms part of these Terms for such Customers.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Montenegro. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Osnovni sud u Podgorici (Basic Court in Podgorica), Montenegro, unless mandatory consumer protection laws in your country of residence require otherwise. If you are a Consumer (not acting in a business capacity), mandatory consumer protection laws of your country of residence may apply in addition to or instead of these Terms.
